Corporate Governance Team Lead

Overview

• World Business Lenders (WBL) is a privately held portfolio lender specializing in real estate-secured business loans for underserved businesses. WBL operates with a fully remote, multinational workforce and an experienced executive leadership team.
• Typically, the work schedule is from 9:00 AM to 6:00 PM Eastern Time, Monday through Friday, though additional hours may be required based on business needs.

About the Role

• WBL is seeking a Corporate Governance Team Leadto own the operating framework for entity management, corporate filings, resolutions, governance records, intellectual property administration, and support for corporate structuring. This role will ensure WBL's entities and governance documentation remain accurate, current, controlled, and ready to support business activity and expansion.

• Maintains complete and current entity, governance, and corporate recordkeeping across the organization.
• Completes filings, resolutions, approvals, and recurring obligations accurately and on time.
• Creates scalable governance standards that support transactions, audits, and expansion into new jurisdictions.
• Provides reliable reporting and early escalation of governance, standing, authority, and documentation risks.

What You'll Be Doing (Core Responsibilities)

• Entity Management and Corporate Records

• Oversee the lifecycle of WBL entities, including formations, qualifications, amendments, mergers, conversions, dissolutions, and withdrawals.
• Maintain authoritative entity records, organizational charts, officers and directors, ownership information, addresses, registered agents, and good-standing status.
• Manage minute books, charters, bylaws, operating agreements, consents, resolutions, certificates, and other governance documentation.
• Establish naming, filing, retention, access, and quality-control standards for corporate records.
• Governance and Approvals
  • Draft and coordinate board, manager, member, shareholder, and officer resolutions and written consents using approved forms.
  • Maintain governance calendars and ensure recurring and transaction-specific approvals are completed, executed, and retained.
  • Confirm entity authority, signatory authority, and required approvals for corporate actions and business requests.
  • Support governance reporting and preparation for meetings, audits, transactions, financings, and diligence requests.
• Filings, Structure, and Intellectual Property
  • Oversee annual reports, franchise and entity-related filings, foreign qualifications, registered-agent matters, and good-standing remediation.
  • Support corporate structuring, reorganizations, and expansion into new jurisdictions in coordination with Finance, Tax, and Operations.
  • Coordinate administrative aspects of intellectual property registrations, renewals, assignments, and recordkeeping with counsel and business owners.
  • Manage external filing services and governance vendors and verify the accuracy and timeliness of their work.
• Process, Reporting, and Team Oversight
  • Build and document scalable entity-management and corporate-governance policies, procedures, templates, controls, and workflows.
  • Prepare dashboards and reports on entity status, upcoming obligations, pending actions, governance risks, and record completeness.
  • Partner with Finance, Tax, Operations, and executive stakeholders to obtain accurate information and resolve discrepancies.
  • Supervise and develop the Corporate Governance Analyst, including workload assignment and quality review.

Requirements

• Education
  • Must have a law degree with proof of qualification
• Required Experience

• 5+ years of experience in corporate governance, entity management, corporate legal operations, securities administration, or a related in-house or law-firm function.
• Demonstrated experience with formations, dissolutions, qualifications, annual filings, resolutions, and corporate records.
• Experience supporting corporate structuring, transactions, audits, or due-diligence requests.
• Strong project-management, drafting, quality-control, and stakeholder-management skills.

Preferred Industry Experience

• Financial services, commercial lending, private lending, banking, fintech, specialty finance, mortgage lending, or another highly regulated industry.

Specific Technical Skills

• Entity lifecycle and good-standing management.
• Corporate resolutions, consents, minute books, and authority records.
• Governance calendars, organizational charts, filings, and records controls.
• Entity-management platforms, registered-agent portals, document repositories, and Microsoft Office.

Must-Have Requirements

• Must have a law degree with proof of qualification.
• Must be able to read and speak English fluently.
• Strong ability to prioritize tasks and manage multiple deadlines.
• Proficiency in Outlook and Teams for scheduling, communication, and collaboration.
