Attorney / Lawyer (Corporate, Contracts & Compliance)

Location: Remote (U.S. Licensed Attorneys Preferred) Job Type: Full-Time Working Hours: U.S. Client Business Hours

About the Role

We’re hiring a highly analytical and business-minded Attorney to provide legal guidance, contract support, compliance oversight, and risk management across a variety of legal and operational matters.

This role combines contract drafting, legal research, compliance management, corporate governance, and business advisory support. You’ll work closely with leadership, operations teams, clients, and outside counsel to help the organization operate compliantly while minimizing legal risk and supporting business growth.

We’re looking for a practical, responsive, and commercially minded legal professional who can balance legal protection with real-world business objectives in a fast-paced environment.

Key Responsibilities

Contract Drafting, Review & Negotiation

  • Draft, review, revise, and negotiate:

  • NDAs

  • MSAs

  • Employment agreements

  • Vendor agreements

  • Service contracts

  • Commercial contracts

  • Leases and related legal documents

  • Identify legal risks and recommend practical solutions.

  • Support leadership during negotiations and contract discussions.

  • Maintain organized contract repositories and version control processes.

  • Conduct legal research using tools such as:

  • Westlaw

  • LexisNexis

  • Practical Law

  • Interpret laws, regulations, and case law.

  • Provide practical legal guidance to leadership and stakeholders.

  • Assess legal and operational risks and recommend compliant business solutions.

  • Support decision-making with timely legal advice.

Corporate Governance & Compliance

  • Prepare and maintain:

  • Corporate resolutions

  • Operating agreements

  • Governance documents

  • Corporate filings

  • Monitor compliance with applicable laws and regulations, including:

  • Employment law

  • GDPR

  • HIPAA

  • FTC regulations

  • SOX requirements

  • Industry-specific compliance standards

  • Maintain audit-ready legal documentation and compliance records.

  • Assist with policy development and compliance initiatives.

Litigation & Dispute Management

  • Draft legal correspondence, pleadings, motions, and discovery responses when required.

  • Coordinate with outside counsel on litigation matters.

  • Track legal deadlines, filings, and case management activities.

  • Support dispute resolution and risk mitigation efforts.

  • Maintain organized legal files, contract databases, and document management systems.

  • Improve legal workflows and contract management processes.

  • Ensure legal records remain secure, searchable, and audit-ready.

  • Support legal process standardization and operational efficiency initiatives.

Requirements

Must-Have Qualifications

  • Juris Doctor (JD) or equivalent law degree.

  • Active bar admission in at least one U.S. jurisdiction.

  • 3+ years of legal practice experience in a law firm or in-house environment.

  • Experience drafting, reviewing, and negotiating commercial contracts.

  • Experience providing legal and compliance advisory support.

  • Strong legal research, analytical, and problem-solving skills.

  • Excellent written and verbal English communication skills.

  • Ability to manage multiple legal matters simultaneously.

Preferred Qualifications

  • In-house counsel experience.

  • Multi-jurisdictional or international legal exposure.

  • Experience in:
