This position is listed on behalf of a partner company, who manages all applications and next steps. Our partner is looking for a Advogado Sênior - Societário based in Brazil.
This role is focused on delivering high-level legal support in complex corporate and transactional matters, acting as a key advisor in structuring and executing strategic business operations. You will work on sophisticated corporate deals, M&A transactions, and governance matters, supporting clients and internal stakeholders in critical decision-making processes. The position involves direct participation in contract negotiation, legal structuring of investments, and corporate reorganizations. You will also contribute to due diligence processes, ensuring legal security and compliance across transactions. Working in a dynamic and collaborative environment, you will engage with multidisciplinary teams and high-profile clients across different industries. This is a strategic role where your legal expertise directly impacts business growth, risk mitigation, and corporate governance excellence.
Accountabilities:Provide senior-level legal expertise in corporate law, supporting complex transactions, governance structures, and strategic business operations.
Draft, review, and negotiate complex corporate contracts, including investment agreements, shareholder agreements, term sheets, and joint ventures
Structure and support M&A transactions, including legal due diligence and deal modeling
Advise on corporate reorganizations, succession planning, and patrimonial structuring
Prepare and formalize corporate acts for different company types (Ltds, corporations, associations)
Provide legal opinions and advisory support on corporate governance and business law matters
Support structuring of deals from initial negotiation through execution, including debt and investment instruments
Ensure compliance with corporate legislation and best governance practices across transactions
Strong experience in corporate law and transactional advisory, with solid technical knowledge in contracts, M&A, and business structuring.
Bachelor’s degree in Law with active OAB registration
Minimum of 3 years of experience in corporate law, contracts, or business advisory
Strong experience with corporate transactions, M&A, and legal due diligence
Advanced knowledge of corporate contracts and governance structures
Advanced English proficiency (written and reading)
Strong command of Microsoft Office tools (Word, Excel, PowerPoint, Outlook) and document management tools (PDF)
Strong analytical thinking, attention to detail, and ability to work on complex legal structures
Ability to work collaboratively in fast-paced, multidisciplinary environments
Differentials:
Knowledge of accounting principles
Experience in succession and estate planning
Postgraduate specialization in Corporate Law or related fields
Monthly fixed compensation model with performance-based variable remuneration
Quarterly variable bonus based on performance and program criteria
Payment of OAB annual membership fee (subject to eligibility rules)

Hybrid work model with 1 week per month in-person in Minas Gerais, Rio de Janeiro, or São Paulo units
